TERMS AND CONDITIONS

1. AGREEMENT TO TERMS

These Terms and Conditions constitute a legally binding agreement made between you (referred to as “you,” “your,” or “Client”) and Chemy Limousine Service (“we,” “us,” “our,” or “Company”), concerning your access to and use of our transportation services and the https://chemy.limo website (the “Site”), as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto.

BY BOOKING A RESERVATION, PROVIDING YOUR ELECTRONIC SIGNATURE, OR COMPLETING PAYMENT, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY ALL OF THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS AND CONDITIONS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING OUR SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

By providing payment information via phone, email, text message, SMS, or through our online booking platform, and by providing your electronic signature during the booking process, you acknowledge that:

  • An electronic signature has the same legal effect as a handwritten signature
  • This agreement constitutes a legally binding contract
  • You consent to conduct this transaction electronically
  • You have the ability to download, print, or save a copy of this agreement

This agreement complies with the Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA).

  • Charter Buses

All vehicles are professionally maintained, fully insured, and operated by licensed, background-checked chauffeurs in compliance with Illinois Department of Transportation regulations.


4. BOOKING AND RESERVATIONS

4.1 How to Book

4.2 Electronic Signature Requirement

MANDATORY ELECTRONIC SIGNATURE: During the booking process, you will be required to provide an electronic signature to acknowledge and accept these Terms and Conditions. Your electronic signature:

  • Constitutes your legally binding agreement to these terms
  • Confirms your identity and authorization to book services
  • Cannot be revoked once services are rendered
  • Is stored securely in compliance with data protection regulations

By providing your electronic signature, you certify that:

  • You are at least 18 years of age
  • You have legal authority to enter into this contract
  • All information provided is accurate and truthful
  • You authorize charges to the payment method provided

4.3 Booking Confirmation

IT IS YOUR RESPONSIBILITY AS THE CLIENT TO REVIEW YOUR BOOKING CONFIRMATION AND ENSURE ALL DETAILS ARE CORRECT. Confirmation will be sent to your email and/or SMS. Should any discrepancy be found, you must contact us immediately at +1 (630) 528-2059 or Contact@chemy.limo.

4.4 Advance Booking Requirements

  • Standard Reservations: Minimum 24 hours advance notice recommended
  • Peak Season/Special Events: Minimum 48-72 hours advance notice required
  • Last-Minute Bookings: Subject to availability and may incur additional fees
  • Multi-Vehicle Bookings: Minimum 72 hours advance notice required

4.5 Reservation Modifications

All modifications to existing reservations must be made at least 12 hours prior to scheduled pickup time. Changes made within 12 hours of pickup may be subject to availability and additional charges.


5. PRICING AND PAYMENT

5.1 Rate Structure

Our pricing is based on:

Hourly Rates:

  • Sedan: $80 per hour
  • SUV: $100 per hour
  • Other Vehicles: Custom quote provided upon request

Point-to-Point Rates: Flat rates for specific routes (e.g., airport transfers)

Distance-Based Rates: For trips exceeding our standard 30-mile service area

All quoted prices include:

  • Professional chauffeur service
  • Vehicle operational costs
  • Fuel surcharges
  • Standard tolls within service area

All quoted prices DO NOT include:

  • Gratuity/Tips (optional but customary at 20%)
  • Parking fees at destination venues
  • Extra stops not included in original itinerary
  • Wait time charges beyond complimentary allowance
  • Out-of-area tolls and parking fees
  • Overtime charges
  • Damage or cleaning fees

5.2 Payment Methods and Processing

We accept payment through Stripe, our secure payment processor, which processes:

  • Major Credit Cards (Visa, Mastercard, American Express, Discover)
  • Debit Cards
  • Digital Wallets (Apple Pay, Google Pay)

Payment is due in full at the time of booking unless alternative arrangements have been made for corporate accounts.

5.3 Secure Payment Card Storage

IMPORTANT – PAYMENT CARD STORAGE AUTHORIZATION:

By completing your booking and providing payment information, you explicitly authorize Chemy Limousine Service to:

  1. Securely store your payment card information with Stripe, our PCI-DSS Level 1 compliant payment processor

  2. Use stored payment information for:

    • Future bookings to expedite the reservation process
    • Additional charges incurred during or after service, including but not limited to:
      • Wait time fees beyond complimentary period
      • Overtime charges
      • Additional stops or route changes
      • Damage to vehicle interior or exterior
      • Cleaning fees for excessive mess, stains, or prohibited activities
      • Smoking violation fees
      • Tolls and parking fees
      • Any other legitimate charges outlined in these Terms and Conditions
    • Collection of unpaid balances or disputed charges
  3. Automatic charging of your stored payment method for any additional fees or charges that arise from your use of our services

Your payment card information is:

  • Never stored on our servers
  • Encrypted and tokenized by Stripe
  • Protected by industry-leading security measures
  • Compliant with PCI-DSS standards
  • Only accessible for legitimate business purposes

You may request removal of stored payment information by contacting us at Contact@chemy.limo. However, removal of payment information may limit your ability to book future services or may require alternative payment arrangements.

By proceeding with booking, you acknowledge and accept that charges may be applied to your stored payment method without additional authorization for legitimate service-related fees.

5.4 IP Address Tracking for Fraud Prevention

FRAUD PREVENTION AND SECURITY MEASURES:

To protect both our business and our clients from fraudulent transactions, identity theft, and chargebacks, we collect and transmit certain technical information to our payment processor (Stripe) and maintain records for our security purposes.

Information We Collect:

  • IP Address: Your device’s Internet Protocol address at the time of booking
  • Device Information: Browser type, operating system, device identifiers
  • Geolocation Data: Approximate geographic location based on IP address
  • Transaction Metadata: Timestamp, booking details, payment amount

How We Use This Information:

  1. Fraud Detection: To identify and prevent fraudulent bookings and payment disputes
  2. Chargeback Protection: To provide evidence in case of disputed charges or claims of unauthorized transactions
  3. Service Verification: To verify that the booking was legitimately made by the cardholder
  4. Legal Compliance: To comply with payment processing regulations and anti-money laundering laws
  5. Dispute Resolution: To resolve claims where clients deny:
    • Making a booking
    • Receiving services
    • Authorizing payment
    • Agreeing to these terms

Data Sharing:

  • IP address and device information are transmitted to Stripe in compliance with their fraud prevention protocols
  • This information may be shared with law enforcement if fraudulent activity is suspected
  • Data may be presented as evidence in legal proceedings or arbitration

Data Retention:

  • IP address and transaction data are retained for a minimum of 7 years to comply with financial record-keeping requirements
  • Data is stored securely and in compliance with applicable data protection laws

Your Rights:

While this information is necessary for fraud prevention and cannot be opted out of if you wish to use our services, you have the right to:

  • Request access to your stored data
  • Request correction of inaccurate data
  • Understand how your data is being used

This data collection is essential for operating a secure payment system and protecting all parties from fraud. By completing a booking, you consent to this data collection and acknowledge its necessity for secure transaction processing.

5.5 Deposit and Payment Terms

  • Standard Reservations: Full payment required at booking
  • Hourly Charters (4+ hours): Full payment required at booking
  • Large Events/Multiple Vehicles: 50% deposit required, balance due 48 hours before service
  • Corporate Accounts: Custom payment terms available upon credit approval

5.6 Additional Charges

The following may result in additional charges to your stored payment method:

  • Wait time beyond complimentary period
  • Additional stops not included in original booking
  • Overtime (exceeding reserved hours)
  • Cleaning fees for excessive mess or damage ($150-$500 depending on severity)
  • Smoking violations ($250 minimum fee)
  • Tolls outside service area
  • Parking fees at venues
  • Traffic delays causing significant overtime
  • Damage to vehicle interior or equipment

YOU AUTHORIZE US TO CHARGE YOUR STORED PAYMENT METHOD FOR ANY SUCH ADDITIONAL FEES WITHOUT FURTHER CONSENT.


6. WAIT TIME POLICY

6.1 Complimentary Wait Time

Airport Pickups:

  • All Flights: 30 minutes free wait time from actual flight landing time
  • Flight tracking is complimentary; we monitor flights automatically
  • Wait time begins when aircraft lands, not scheduled arrival time

All Other Pickups (Hotels, Residences, Venues, Corporate Offices):

  • 15 minutes complimentary wait time from scheduled pickup time

6.2 Charges for Excessive Wait Time

After the complimentary wait time period expires:

  • Charged at the hourly rate (prorated per hour)
  • Wait time charges will be automatically charged to your stored payment method
  • No additional authorization required

6.3 No-Shows

If client is not present after complimentary wait time plus an additional 15 minutes:

  • The reservation will be considered a NO-SHOW
  • 100% of total fare will be charged to your stored payment method
  • No refund will be issued

7. CANCELLATION AND REFUND POLICY

7.1 Standard Cancellation Policy

Cancellations made 48 hours or more prior to scheduled pickup time:

  • Full refund minus 3% processing fee
  • OR credit toward future service (100% of payment retained)

Cancellations made within 48 hours but more than 24 hours prior:

  • 50% of total fare charged as cancellation fee
  • Remaining 50% refunded to original payment method within 5-7 business days

Cancellations made within 24 hours prior:

  • 75% of total fare charged as cancellation fee
  • Remaining 25% refunded to original payment method within 5-7 business days

Cancellations made less than 24 hours prior or No-Shows:

  • 100% of total fare charged, no refund

7.2 Free Rescheduling Policy

You may reschedule your reservation for free up to 12 hours before your scheduled pickup time.

  • Rescheduling requests must be made by phone or email
  • New date must be within 90 days of original booking
  • Subject to vehicle availability
  • Only one free reschedule permitted per booking

7.3 Weather-Related Cancellations

In case of severe weather conditions that make travel unsafe or inadvisable:

  • Client may cancel or reschedule without penalty if notice is given at least 2 hours prior
  • Decision regarding service safety is at sole discretion of Company management
  • If Company cancels service due to unsafe conditions, full refund issued within 5-7 business days

7.4 Special Event Cancellations

For weddings, proms, concerts, sporting events, or any multi-vehicle bookings:

  • 72 hours advance notice required for cancellation to receive any refund
  • Cancellations within 72 hours: 100% of total fare charged, no refund
  • This policy applies due to specialized nature and limited availability

Cancellations must be acknowledged by Chemy Limousine Service staff to be valid. Please ensure you receive written confirmation of your cancellation request via email.


8. CHAUFFEUR AND VEHICLE ASSIGNMENT

8.1 Vehicle Selection

While we make every effort to provide the specific vehicle class requested at time of booking, Chemy Limousine Service reserves the right to substitute a vehicle of equal or greater value if mechanical issues, accidents, or other unforeseen circumstances arise.

8.2 Chauffeur Assignment

  • All chauffeurs are professionally licensed, insured, and background-checked
  • Chauffeur assignments are made by Company management based on availability and route expertise
  • Specific chauffeur requests cannot be guaranteed but will be accommodated when possible
  • All chauffeurs have undergone drug testing and driving record verification

8.3 Vehicle Standards

All vehicles in our fleet:

  • Are professionally detailed before each service
  • Undergo regular mechanical maintenance and safety inspections
  • Are fully insured and compliant with Illinois Department of Transportation regulations
  • Contain complimentary amenities (bottled water, climate control, premium audio system)

9. PASSENGER RESPONSIBILITIES AND CONDUCT

9.1 Passenger Capacity

YOU MUST NOT EXCEED THE LEGAL PASSENGER CAPACITY OF THE VEHICLE. Exceeding capacity is:

  • Illegal under Illinois law
  • Unsafe and poses serious risk of injury
  • Grounds for immediate service termination without refund
  • May result in additional liability for the client

9.2 Prohibited Conduct

The following behaviors are STRICTLY PROHIBITED and will result in immediate termination of service without refund, and charges to your stored payment method for any resulting damages:

A. Smoking Prohibition:

  • Smoking of any kind (cigarettes, cigars, e-cigarettes, vaping, cannabis) is STRICTLY PROHIBITED in all Sedans and SUVs
  • For Party Buses: Smoking policies vary by vehicle; client must inquire during booking
  • Violation results in minimum $250 cleaning fee charged to your stored payment method
  • Additional cleaning costs may apply for severe smoke damage or odor

B. Alcohol Prohibition:

  • Open containers and alcohol consumption are PROHIBITED in Sedans and SUVs per Illinois law
  • For Party Buses and Limousines: Alcohol may be permitted for passengers 21+ only; client must inquire during booking
  • Client must provide valid government-issued ID for all passengers if alcohol is present
  • Intoxicated passengers causing disturbance may be refused service without refund
  • Underage drinking will not be tolerated and may result in law enforcement notification

C. Illegal Substances:

  • Possession or use of illegal drugs will result in:
    • Immediate service termination
    • No refund
    • Notification of law enforcement
    • Potential criminal charges

D. Damage to Vehicle:

  • Client is financially responsible for any damage to vehicle interior, exterior, or equipment
  • Damage includes but not limited to:
    • Stains, burns, tears, or marks on upholstery
    • Broken windows, mirrors, or fixtures
    • Damage to sound system, lighting, or entertainment equipment
    • Vomit or bodily fluid requiring professional cleaning
  • Cleaning and repair charges will be automatically charged to your stored payment method
  • Charges range from $150 to $5,000+ depending on severity
  • Intentional damage may result in criminal charges and civil lawsuit

E. Disrespectful or Threatening Behavior:

  • Verbal or physical abuse toward chauffeur or other passengers will not be tolerated
  • Sexual harassment or unwanted advances toward chauffeur will result in immediate service termination
  • Chauffeur has the right to terminate service immediately if feeling unsafe
  • No refund will be issued for service terminated due to passenger misconduct
  • Severe incidents will be reported to law enforcement

9.3 Child Safety Seats

  • Illinois law requires appropriate child restraint systems for children under 8 years old
  • Client is responsible for providing and installing child safety seats
  • Chemy Limousine Service does not provide child safety seats
  • Failure to provide appropriate restraints may result in refusal of service without refund

9.4 Unaccompanied Minors

Passengers under 18 years of age must be accompanied by a parent or legal guardian unless:

  • Written parental authorization is provided prior to service
  • Special arrangements are made for supervised events (proms, school functions)
  • Parent/guardian can be reached by phone throughout service duration

10. LUGGAGE AND PERSONAL BELONGINGS

10.1 Luggage Capacity

Each vehicle has specific luggage capacity limits:

  • Sedans: 2-3 large suitcases, 2-3 carry-ons
  • SUVs: 4-6 large suitcases, 4-6 carry-ons
  • Sprinter Vans: 8-10 large suitcases, multiple carry-ons
  • Stretch Limousines: 3-4 large suitcases (limited trunk space due to extended chassis)
  • Party Buses: Varies by vehicle size; overhead and undercarriage storage available

IT IS CLIENT’S RESPONSIBILITY TO INFORM US OF LUGGAGE QUANTITIES AT TIME OF BOOKING to ensure appropriate vehicle is dispatched.

10.2 Liability for Personal Belongings – IMPORTANT DISCLAIMER

CHEMY LIMOUSINE SERVICE IS NOT RESPONSIBLE FOR LOST, STOLEN, DAMAGED, OR FORGOTTEN PERSONAL BELONGINGS.

This includes but is not limited to:

  • Mobile phones, smartphones, tablets, laptops, or other electronic devices
  • Wallets, purses, cash, credit cards, or financial instruments
  • Jewelry, watches, or other valuables
  • Prescription medications or medical devices
  • Eyeglasses, sunglasses, or contact lenses
  • Clothing, accessories, or personal items
  • Documents, passports, identification cards
  • Keys (car keys, house keys, office keys)
  • Children’s items (toys, bottles, car seats, strollers)
  • Luggage or baggage
  • Any other personal property

Client assumes full responsibility for:

  • Securing and monitoring personal belongings during service
  • Checking vehicle thoroughly before exiting
  • Removing all items from vehicle at end of service

While our chauffeurs make reasonable efforts to remind passengers to check for belongings, ultimate responsibility rests solely with the passenger.

10.3 Lost and Found Procedure

If items are left in the vehicle:

  1. Report lost items immediately to +1 (630) 528-2059 or Contact@chemy.limo
  2. Provide detailed description of item(s) and approximate time/location
  3. Found items will be held for 30 days from date reported
  4. After 30 days, unclaimed items may be donated or disposed of
  5. Client is responsible for all pickup or shipping costs of returned items
  6. We cannot guarantee recovery of lost items

We are not liable if:

  • Items are not reported within 24 hours
  • Items cannot be located in vehicle
  • Items are stolen by third parties
  • Items are damaged during transport or storage

HIGH-VALUE ITEMS: We strongly recommend clients do not leave high-value items unattended in vehicles and maintain appropriate insurance coverage for valuable personal property.

10.4 Prohibited Items

The following items are PROHIBITED in all vehicles:

  • Firearms or weapons (except authorized law enforcement with proper credentials and advance notice)
  • Explosives, fireworks, or flammable materials
  • Illegal substances or contraband
  • Hazardous materials or chemicals
  • Items that could damage vehicle interior (wet paint, uncovered food, etc.)
  • Live animals (except certified service animals with advance notice)

11. FLIGHT DELAYS AND TRAVEL TIME

11.1 Flight Monitoring

For airport pickups, Chemy Limousine Service automatically monitors flight status at no additional charge.

If your flight is delayed:

  • Chauffeur will adjust pickup time automatically
  • No need to contact us unless flight is canceled or changes to a different day
  • Complimentary wait time begins when flight actually lands
  • We track flights in real-time using aviation data services

11.2 Traffic and Unforeseen Delays – IMPORTANT DISCLAIMER

TRAVEL TIME IS AN ESTIMATE WHEN BOOKING. ACTUAL TRAVEL TIME CAN VARY SIGNIFICANTLY.

Factors affecting travel time include but are not limited to:

  • Traffic congestion (rush hour, accidents, construction)
  • Weather conditions (snow, ice, heavy rain, flooding)
  • Road construction or closures
  • Accidents or emergency vehicle activity
  • Special events causing road closures or heavy traffic
  • Protests, parades, or public gatherings
  • Police activity or security checkpoints

CHEMY LIMOUSINE SERVICE IS NOT RESPONSIBLE FOR DELAYS CAUSED BY CIRCUMSTANCES BEYOND OUR REASONABLE CONTROL.

This means we are NOT LIABLE for:

  • Missed flights, trains, or connections
  • Missed appointments, meetings, or events
  • Late arrival to weddings, concerts, or time-sensitive events
  • Lost wages or business opportunities
  • Emotional distress or inconvenience

We strongly recommend:

  • Booking with adequate buffer time for time-sensitive appointments (minimum 30-60 minutes extra)
  • Allowing extra time during rush hours:
    • Morning: 6:30-9:30 AM
    • Evening: 3:30-7:00 PM
  • Adding 45-90 minutes buffer time for major events, concerts, or sporting events
  • Monitoring traffic conditions yourself and communicating concerns to chauffeur
  • Having backup transportation plans for critical appointments

Our chauffeurs will:

  • Use GPS and real-time traffic monitoring
  • Take the most efficient route based on current conditions
  • Communicate any significant delays as soon as possible
  • Make reasonable efforts to arrive on time

However, we cannot guarantee arrival times and are not liable for consequences of delays beyond our control.

11.3 Hourly Service and Overtime

For hourly charter reservations:

  • Service time is portal-to-portal (from when chauffeur leaves garage until return to garage)
  • Travel time to your pickup location is included in your reserved hours
  • Travel time from final drop-off back to garage is included in your reserved hours
  • Overtime begins immediately after contracted hours expire
  • Overtime is charged at the standard hourly rate (prorated per hour)
  • Overtime charges are automatically applied to your stored payment method

Example: If you book an SUV for 4 hours starting at 6:00 PM ($100/hour = $400):

  • Service officially ends at 10:00 PM
  • Any time after 10:00 PM is overtime at $100/hour
  • If service concludes at 10:45 PM, you are charged an additional $75 (0.75 hours × $100)
  • Even if traffic or other delays cause late return, overtime charges apply

To avoid overtime charges:

  • Book sufficient hours for your itinerary
  • Factor in travel time to/from pickup location
  • Allow buffer time for traffic and delays
  • Communicate with chauffeur if you wish to extend service in advance

12. ROUTE SELECTION AND STOPS

12.1 Route Determination

Unless client requests specific route:

  • Chauffeur will select most efficient route based on traffic, weather, and road conditions
  • GPS and real-time traffic monitoring used to optimize travel time
  • Chauffeur may deviate from standard route to avoid traffic, accidents, or closures
  • Chauffeur’s route selection is final and in the best interest of timely arrival

If you have a preferred route, please communicate this clearly at time of booking and with chauffeur at pickup.

12.2 Additional Stops

All additional stops not included in original booking must be communicated at time of reservation.

Additional stops include:

  • Picking up additional passengers at different locations
  • Stops for food, beverages, shopping, or errands
  • Multiple drop-off locations
  • Any deviation from original point-to-point itinerary

Charges for additional stops:

  • Point-to-point reservations: $25-$50 per additional stop depending on duration and location
  • Hourly reservations: Included in hourly time (no extra charge, but counts toward total hours)
  • Excessive delays at stops may result in additional wait time or overtime charges

12.3 Multiple Pickup Locations

If booking requires multiple pickup locations:

  • All addresses and pickup times must be provided at time of booking
  • Additional coordination fees may apply ($25-$75 depending on complexity)
  • 15-minute wait time allocated per stop
  • Additional wait time beyond 15 minutes charged at hourly rate

13. GRATUITY AND SERVICE CHARGES

13.1 Gratuity Policy

Gratuity (tips) for chauffeurs is OPTIONAL but customary at 20% of the base fare.

  • Gratuity is NOT automatically included in quoted prices
  • Gratuity can be paid directly to chauffeur in cash or via credit card
  • Future updates to our booking system may include option to add gratuity at time of booking
  • All gratuity goes 100% to the chauffeur
  • Gratuity is separate from service charges, fees, or operational costs

13.2 Outstanding Service Recognition

If your chauffeur provides exceptional service, additional gratuity is always appreciated and may be:

  • Paid directly to chauffeur in cash
  • Arranged by contacting our office at Contact@chemy.limo
  • Included in future bookings as a specific chauffeur request (when available)

14. INSURANCE AND LIABILITY

14.1 Company Insurance

Chemy Limousine Service maintains:

  • Commercial Auto Liability Insurance as required by Illinois law
  • Commercial General Liability Insurance
  • Workers’ Compensation Insurance for all employees
  • Comprehensive and Collision coverage on all vehicles

Certificate of Insurance available upon request for corporate clients or special events.

14.2 Limitation of Liability – CRITICAL LEGAL PROVISION

TO THE MAXIMUM EXTENT PERMITTED BY ILLINOIS LAW AND FEDERAL LAW:

Chemy Limousine Service and its owners, officers, employees, chauffeurs, agents, affiliates, contractors, and representatives SHALL NOT BE LIABLE FOR:

A. Indirect, Incidental, Special, Consequential, or Punitive Damages including but not limited to:

  • Loss of profits, revenue, data, or business opportunities
  • Emotional distress, mental anguish, or pain and suffering
  • Loss of use or enjoyment
  • Cost of substitute services
  • Reputational harm

B. Missed Appointments or Time-Sensitive Events including but not limited to:

  • Missed flights, trains, buses, or transportation connections
  • Missed business meetings, conferences, or appointments
  • Missed weddings, funerals, or family events
  • Missed concerts, sporting events, or entertainment
  • Missed court appearances or legal deadlines
  • Lost employment opportunities or job interviews

Caused by:

  • Traffic delays or congestion beyond our control
  • Weather conditions or natural disasters
  • Road construction, closures, or detours
  • Accidents involving other vehicles
  • Vehicle mechanical failure despite proper maintenance
  • Acts of third parties
  • Force majeure events

C. Personal Injury not directly caused by proven negligence of Chemy Limousine Service or its chauffeurs, including:

  • Injuries sustained entering or exiting vehicle
  • Injuries from passenger misconduct or horseplay
  • Injuries caused by other passengers
  • Medical emergencies or pre-existing conditions
  • Slip and fall incidents outside vehicle
  • Injuries from third-party accidents

D. Property Damage including:

  • Personal belongings left in vehicle (see Section 10.2)
  • Items not directly damaged by our proven negligence
  • Damage from acts of other passengers or third parties
  • Damage from theft by non-employees

E. Third-Party Actions including but not limited to:

  • Accidents caused by other drivers
  • Criminal acts by third parties (theft, assault, etc.)
  • Natural disasters or acts of God
  • Government actions or law enforcement activity

MAXIMUM LIABILITY:

In any event, Chemy Limousine Service’s total aggregate liability to Client for any and all claims arising from a single booking or series of related bookings shall NOT EXCEED the total amount actually paid by Client for that specific service.

This means: If you paid $200 for a ride, our maximum liability is $200, regardless of your claimed damages.

This limitation applies to ALL claims including:

  • Breach of contract
  • Negligence
  • Strict liability
  • Breach of warranty
  • Any other legal theory

EXCEPTIONS: Nothing in this section limits liability for:

  • Death or personal injury caused by our gross negligence or willful misconduct
  • Fraud or fraudulent misrepresentation
  • Violations of law that cannot be contractually limited

14.3 Client Indemnification

Client agrees to indemnify, defend, and hold harmless Chemy Limousine Service, its owners, officers, employees, chauffeurs, agents, and affiliates from any and all:

  • Claims, demands, lawsuits, or legal proceedings
  • Damages, losses, liabilities, or expenses (including reasonable attorney fees)
  • Costs of investigation and defense

Arising from or related to:

  1. Client’s violation of these Terms and Conditions
  2. Client’s illegal activities or criminal conduct during service
  3. Damage to vehicle caused by Client or Client’s guests
  4. Third-party claims arising from Client’s actions, including:
    • Injury to other passengers
    • Property damage caused by Client
    • Defamation, harassment, or assault by Client
  5. Client’s negligence or willful misconduct
  6. Violation of laws by Client or Client’s guests (underage drinking, drug possession, etc.)
  7. Passenger misconduct including but not limited to:
    • Fighting or violence among passengers
    • Sexual harassment or assault
    • Vandalism or property destruction
  8. False claims or fraudulent chargebacks initiated by Client

This indemnification obligation survives termination of service and continues indefinitely for any claims arising from your use of our services.


15. FORCE MAJEURE

Chemy Limousine Service shall not be held liable for failure to perform services due to circumstances beyond our reasonable control, including but not limited to:

Natural Disasters and Weather:

  • Severe weather (blizzards, ice storms, flooding, tornadoes)
  • Earthquakes, hurricanes, or other natural disasters
  • Acts of God

Government and Civil Actions:

  • Government orders, restrictions, or regulations
  • Emergency declarations or curfews
  • Road closures or travel bans
  • Terrorism or threats of terrorism
  • Civil unrest, riots, or protests
  • War or military action

Public Health Emergencies:

  • Pandemics or epidemics
  • Public health orders or quarantines
  • Infectious disease outbreaks

Infrastructure Failures:

  • Widespread power outages
  • Communication system failures
  • Fuel shortages

Labor Issues:

  • Strikes or labor disputes (not involving our employees)
  • Industry-wide work stoppages

Vehicle Issues:

  • Vehicle mechanical failure due to manufacturing defects despite proper maintenance
  • Accidents involving our vehicles caused by third parties
  • Vehicle theft or vandalism

In such events:

  1. Service may be canceled or rescheduled without penalty to either party
  2. Full refund will be issued if service cannot be rescheduled within reasonable time frame
  3. Company will make reasonable efforts to provide alternative transportation if available
  4. Client will be notified as soon as reasonably possible

Neither party shall be liable to the other for failure to perform obligations due to force majeure events.

Costs and Fees:

  • If you demonstrate financial hardship, Company may advance your share of fees

Arbitration Award:

  • Arbitrator may award any relief that would be available in court under applicable law
  • Arbitrator’s decision is final and binding with very limited right of appeal
  • Award may be entered as judgment in any court of competent jurisdiction

Opt-Out Right:

You have the right to opt-out of this arbitration agreement within 30 days of first booking.

  • Include your name, booking email, and statement: “I opt-out of the arbitration agreement”

If you opt-out, all disputes will be resolved in court (Section 17.2) instead of arbitration, but all other Terms still apply.

Either party may bring the following claims in court rather than arbitration:

17.6 Class Action Waiver – CRITICAL PROVISION

YOU AND CHEMY LIMOUSINE SERVICE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

This means:

  • NO CLASS ACTIONS: You cannot participate in a class action lawsuit against us
  • NO REPRESENTATIVE ACTIONS: You cannot bring claims on behalf of others
  • INDIVIDUAL CLAIMS ONLY: Each dispute must be brought individually
  • NO CONSOLIDATION: Multiple claims cannot be consolidated or joined

If class action waiver is found unenforceable: The entire arbitration agreement (Section 17.4) is void, and all disputes will be resolved in court under Section 17.2.

17.7 Time Limitation for Claims – STATUTE OF LIMITATIONS

  • Claims include: Breach of contract, personal injury, property damage, billing disputes, or any other legal claim
  • When claim arises: Date of incident, date of service, or date you knew or should have known of the claim
  • Failure to file: Claims not filed within one year are permanently barred and waived

This time limit is SHORTER than Illinois statutory periods and is agreed to by both parties to promote prompt resolution of disputes.

Example: If vehicle damage occurred on January 1, 2026, you must file a claim by December 31, 2026, or the claim is forever waived.

17.8 Severability

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court or arbitrator:

  • The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable
  • If modification is not possible, the provision shall be severed (removed)
  • All other provisions shall remain in full force and effect
  • The overall intent and purpose of this agreement shall be preserved

20.3 Continued Use Constitutes Acceptance

Your continued use of our services after changes are posted constitutes your acceptance of the modified Terms and Conditions.

If you do not agree with modified terms:

  • You must cancel any pending reservations before changes take effect
  • Original terms will apply to any services already booked and completed before changes

21. GENERAL PROVISIONS

21.1 Entire Agreement

These Terms and Conditions, together with:

  • Our Privacy Policy
  • Our Cancellation and Refund Policy
  • Any written booking confirmations or quotes
  • Any additional agreements signed by both parties

constitute the ENTIRE AGREEMENT between Client and Chemy Limousine Service regarding use of our services.

This agreement supersedes all prior:

  • Verbal communications or phone discussions
  • Email exchanges or text message conversations
  • Previous versions of terms and conditions
  • Industry customs, practices, or course of dealing
  • Prior agreements or understandings

No modification unless in writing: Any modifications, amendments, or additional terms must be:

  • Made in writing
  • Signed by authorized Company representative (owner or manager)
  • Dated and attached to original agreement

Verbal modifications or email agreements are NOT binding unless confirmed in signed writing.

21.2 Waiver

No waiver by Chemy Limousine Service of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

Failure to enforce any provision does not constitute waiver:

  • If we fail to enforce a provision on one occasion, we may still enforce it later
  • If we allow a violation without penalty, we may still enforce the rule in future
  • All rights and remedies remain available to Company at all times

Example: If we don’t charge overtime on one occasion, we may still charge it on future bookings.

21.3 Assignment

You may not assign or transfer these Terms and Conditions or any rights or obligations under this agreement without our prior written consent.

We may assign or transfer these Terms and Conditions to:

  • A successor company in event of merger or acquisition
  • An affiliated company or subsidiary
  • Any party in connection with sale of business assets

Any attempted assignment by you without consent is void.

  • Email: Upon sending (if no bounce-back error)

21.6 Headings

Section headings in these Terms and Conditions are for convenience only and do not affect interpretation of provisions.

21.7 Language

These Terms and Conditions are written in English. Any translations provided are for convenience only. In case of conflict, the English version prevails.

21.8 Electronic Signatures and Records

You agree that:

  • Electronic signatures, contracts, and records have same legal effect as physical documents
  • You will not contest validity of this agreement based on electronic execution
  • Electronic records may be used as evidence in any dispute

22. SPECIAL SERVICES AND ACCOMMODATIONS

  • Priority booking and vehicle allocation
  • Customized reporting for expense management

  3. Provide business references and credit information
  4. Await credit approval (5-10 business days)
  5. Sign corporate services agreement

For clients with regular transportation needs (daily commutes, weekly appointments, recurring events):

You are of legal age (18 years or older) to enter into this binding contract

You have authority to enter into this agreement on behalf of yourself and all passengers in your booking

  • Damages, fees, or penalties resulting from passenger conduct
  • Wait time, overtime, tolls, and parking fees
